GENERAL TERMS AND CONDITIONS OF SALE AND SERVICE PROVISION<\/b><\/p>

These conditions apply to all formal awards made by the Client and prevail over any other prior communications.<\/span><\/span><\/strong><\/p>

1. Validade Contratual e Aceita\u00e7\u00e3o<\/b><\/span><\/span><\/p>

Acceptance of the commercial proposal from Brands Connection \u2013 Sustainable Trends, by any written means (including email, digital signature, online platform or other electronic method), constitutes a formal award of work and is equivalent to the conclusion of a contract for the supply of goods and\/or provision of services, binding both parties to the terms and conditions stated in the proposal and these general terms and conditions.<\/span><\/span><\/p>

Under Article 405 of the Portuguese Civil Code, the contract is deemed concluded when Brands Connection receives the Client\u2019s formal acceptance of the proposal.<\/span><\/span><\/p>

2. Purpose and Scope<\/b><\/span><\/span><\/p>

2.1. These general conditions govern all proposals, contracts and the supply of products (promotional gifts, merchandising, printed materials) and services (websites, automations, AI agents, consulting, branding, online traffic management and others) provided by Brands Connection \u2013 Sustainable Trends (\u201cBrands Connection\u201d), based in Portugal, within the scope of its B2B business activity.<\/span><\/span><\/p>

2.2. These conditions apply to all commercial relationships, unless otherwise agreed in writing in a specific proposal or contract.<\/span><\/span><\/p>

3. Proposals, Orders and Acceptance<\/b><\/span><\/span><\/p>

3.1. All commercial proposals are valid for 15 calendar days, unless stated otherwise.<\/span><\/span><\/p>

3.2. Acceptance of the proposal by the Client confirms that all details of the products\/services are correct (sizes, colours, quantities, pricing, payment terms, delivery time and location).<\/span><\/span><\/p>

3.3. All orders must be submitted in writing (email, digital platform or other electronic method). Orders not formally submitted are not binding for Brands Connection.<\/span><\/span><\/p>

3.4. Any changes to scope, quantities or specifications after acceptance will be quoted separately and may alter deadlines and costs.<\/span><\/span><\/p>

4. Payment Terms<\/b><\/span><\/span><\/p>

4.1. Salvo acordo expresso em<\/span> contr\u00e1rio, o pagamento \u00e9 de 100% na adjudica\u00e7\u00e3o para produtos e servi\u00e7os.<\/span><\/span><\/p>

4.2. P<\/span>ara servi\u00e7os de presta\u00e7\u00e3o continuada, o contrato m\u00ednimo \u00e9 de 3 (tr\u00eas) meses, com pagamento devido at\u00e9 ao \u00faltimo dia \u00fatil de cada m\u00eas. A falta de pagamento de qualquer quantia vencida confere \u00e0 Brands Connection o direito de suspender, total ou parcialmente, e com efeitos imediatos, a presta\u00e7\u00e3o dos servi\u00e7os, bem como bloquear acessos, pausar campanhas, suspender automa\u00e7\u00f5es, d<\/span><\/span>esativar integra\u00e7\u00f5es, reter entreg\u00e1veis, suspender alojamento, manuten\u00e7\u00e3o, suporte t\u00e9cnico ou qualquer outra componente operacional associada, at\u00e9 integral regulariza\u00e7\u00e3o dos montantes em d\u00edvida. Tal suspens\u00e3o n\u00e3o constitui incumprimento da Brands Connection, nem confere ao Cliente qualquer direito a indemniza\u00e7\u00e3o, compensa\u00e7\u00e3o, desconto, reten\u00e7\u00e3o de pagamentos ou prorroga\u00e7\u00e3o autom\u00e1tica de prazos. Sem preju\u00edzo do disposto no presente n\u00famero, se o <\/span><\/span>incumprimento persistir, a Brands Connection poder\u00e1 considerar cessados os servi\u00e7os no segundo dia \u00fatil do m\u00eas em quest\u00e3o, mantendo-se devidos todos os valores vencidos e demais encargos aplic\u00e1veis.<\/span><\/span><\/span><\/p>

4.2.1.<\/span><\/span><\/span><\/strong> A regulariza\u00e7\u00e3o de montantes em d\u00edvida n\u00e3o implica a retoma autom\u00e1tica dos servi\u00e7os. A retoma fica sujeita a confirma\u00e7\u00e3o operacional, disponibilidade e\/ou viabilidade t\u00e9cnica, n\u00e3o sendo garantida a reposi\u00e7\u00e3o de condi\u00e7\u00f5es anteriores (incluindo calend\u00e1rios, janelas de produ\u00e7\u00e3o, campanhas, entregas ou prazos), salvo acordo escrito em contr\u00e1rio. <\/span><\/span><\/span><\/p>

4.3. O incumprimento dos prazos de pagamento implica a aplica\u00e7\u00e3o de juros de mora \u00e0<\/span><\/span> taxa legal em vigor e uma indemniza\u00e7\u00e3o m\u00ednima de \u20ac40 por custos de cobran\u00e7a (art. 7.\u00ba do Decreto-Lei n.\u00ba 62\/2013, de 10 de maio).<\/span><\/span><\/p>

4.4. Enquanto n\u00e3o estiverem pagos integralmente, todos os bens fornecidos s\u00e3o propriedade da Brands<\/span> C<\/span>onnection (art. 409.\u00ba do C\u00f3digo Civil). Em caso de incumprimento, a Brands Connection pode recolher os bens, mantendo o Cliente a obriga\u00e7\u00e3o de pagar o valor acordado e eventuais despesas associadas.<\/span><\/span><\/p>

4.5. O Cliente aceita expressamente a rece\u00e7\u00e3o de faturas e documenta\u00e7\u00e3o fiscal por via eletr\u00f3nica.<\/span><\/span><\/p>

4.6. <\/span>Compensa\u00e7\u00e3o e reten\u00e7\u00e3o<\/span><\/span><\/p>

O Cliente n\u00e3o poder\u00e1 suspender, reter, deduzir, compensar ou recusar pagamentos devidos \u00e0 Brands Connection com fundamento em reclama\u00e7\u00f5es, cr\u00e9ditos alegados ou lit\u00edgios pendentes, salvo acordo escrito entre as partes ou decis\u00e3o judicial transitada em julgado.<\/span><\/span><\/p>

5. Deliveries, Shipping and Risk<\/b><\/span><\/span><\/p>

5.1. The delivery location is as stated in the proposal. Unless otherwise agreed, deliveries are made to the Client's premises.<\/span><\/span><\/p>
